Creating annonation feature.

Whenever I open arc catolog window and try to creature a feauture class but this remain death. But i created a shape file such as road as polyline feautre before making feautre class. Where is the problem? and I also cannot annonation feautre for this reason.

why we do Geo-referencing in arc gis. I have done this but I cannot understand this what types facility I will get by doing Geo-referencing.

I have georeferenced  a raster image. But after georeferencing this image It does not remain its right position and there is a distortion of the shape of the image. How can i solve this?
