My Geo-referencing tool is grayed out and I am unable to Georeference and JPG image in ArcMap.
Might be as easy as highlighting the raster in your table of contents, then click the imagery tab in the ribbon, or maybe you'll see the georeference tab automatically then, I forget - key point is to make sure jpeg is selected in table of contents otherwise you won't see the georeference tool, it'll be greyed out.
