I have 2 sets of point data. (shape files)  1 file has about 500 points, and the 2nd file has about 800 points (but this 2nd file has the exact ones the first file has).  SO, I need to figure a way to select the points in the 2nd file that are not included in the 1st file.  (approx 300).  Any help with this would be greatly appreciated.

Did you try any of the suggestions? and if so what was the outcome?

I'm curious if the "Find Identical" tool would be helpful. Combine both layers into one and run the tool based off whichever attribute you could use to find identical features. You could also do it off "shape", which allows you to adjust the xy tolerances. I haven't had to use this tool yet, but I think it could be helpful in this situation if the select by location option doesn't pane out.
