I have tried to locate these files but both files are not present in the installation directory. Can anyone provide me these two dll files or help me locate them? I have ArcGIS Desktop,ArcGIS server and .NET SDK v10.1 installed.

I suspect that these files are associated with ArcGIS Engine. Try installing that.
