I was also having invalid layer issues (http://forums.arcgis.com/threads/4748-The-basemap-contains-one-or-more-invalid-layers.?p=76353&posted=1) and had tried literally everything possible. I finally spoke with someone at ESRI and have the solution (at least for me).

Go to http://www.microsoft.com/downloads/en/details.aspx?FamilyID=7f6c0cb4-7a5e-4790-a7cf-9e139e6819c0&displaylang=en and download and install MSXML 4.0 Service Pack 3. That's it!

Mark
